Sample Nondisclosure Agreement


When negotiating agreements with other parties or companies, there may be times when sensitive company information will be shared. In fact, it is often impossible to seal a deal with another party without divulging some proprietary information.

One way to protect yourself and your company from the improper release of this important information is to enter into a nondisclosure agreement before beginning the negotiations. You can make such an agreement a requirement, if you wish.

The attached file contains a sample nondisclosure agreement that provides an example of the general language that you would expect to find in such agreements. However, the content of a nondisclosure agreement should be individually tailored to fit each company's particular circumstances.
